CharitySocials – Collaboration, PPC & Escrow Terms

1. Scope & Acceptance

These Terms govern collaborations, PPC campaigns, escrow arrangements, payouts, disputes, and related services offered through CharitySocials (“Platform”, “we”, “us”, “our”). By using the Platform as an advertiser, charity, organisation, influencer, affiliate, creator, promoter, or registered user (“you”), you agree to these Terms.

If you do not agree to these Terms, you must not use the relevant Platform features.

2. Collaboration Overview

2.1 The Collaboration System enables advertisers and organizations to engage influencers directly through the Platform for promotional work, campaigns, content creation, social sharing, sponsorships, and related services.

2.2 Collaborations operate separately from PPC campaigns unless expressly stated otherwise in a collaboration brief.

2.3 Each collaboration should clearly specify deliverables, timescales, agreed price, revision expectations (if any), and any mandatory proof of completion.

3. Escrow Requirement

3.1 Before collaboration work begins, the advertiser must deposit the agreed collaboration amount into the Platform escrow or wallet system where required by the Platform workflow.

3.2 Escrow funds remain locked until one of the following occurs:

  • the influencer completes the agreed deliverables and the advertiser approves release;
  • the parties agree to a permitted partial or revised release;
  • a dispute is raised and resolved in accordance with these Terms; or
  • the collaboration is cancelled in accordance with the cancellation rules below.

3.3 Influencers should not begin chargeable work until escrow or payment confirmation is shown on the Platform.

4. Deliverables & Completion

4.1 Influencers must complete the deliverables stated in the collaboration brief and any agreed in-platform amendments.

4.2 When work is complete, the influencer may submit a completion or release request through the Platform.

4.3 Deliverables may include, where applicable, URLs, screenshots, published content, analytics, reports, files, captions, post dates, stories, videos, or other agreed outputs.

5. Approval, Revisions & Release

5.1 After a completion request is submitted, the advertiser should within the applicable Platform timeframe:

  • approve and release funds;
  • request a permitted revision with clear reasons; or
  • raise a dispute where there is a genuine issue with delivery.

5.2 If the Platform provides an auto-release or auto-approval mechanism after a stated response period, users agree that the workflow may operate automatically in accordance with the relevant on-screen rules.

5.3 Once funds are released to the influencer account, the release is treated as final for Platform accounting purposes, subject to any rights or remedies that cannot legally be excluded.

6. Disputes & Platform Review

6.1 If either party disputes delivery, quality, timing, or compliance with the brief, a dispute must be raised through the official Platform process where available.

6.2 Each party should provide relevant evidence, which may include screenshots, links, files, timestamps, communication history, analytics, and proof of delivery or non-delivery.

6.3 During an active dispute, escrow funds remain locked unless the Platform expressly permits partial release or other interim action.

6.4 CharitySocials may review the available evidence and make an internal platform decision including:

  • full release to the influencer;
  • partial release or split decision;
  • refund to the advertiser;
  • collaboration cancellation;
  • account warnings, restrictions, or suspension.

6.5 The Platform’s internal decision will generally determine how funds and account actions are handled on-platform. However, nothing in these Terms removes any non-excludable rights or remedies available under applicable law.

7. Anti-Bypass & Platform Integrity

7.1 Users must not bypass the Platform in order to avoid escrow requirements, fees, tracking, moderation, or compliance processes.

7.2 Prohibited conduct includes, without limitation:

  • taking collaboration deals off-platform to avoid fees or escrow;
  • soliciting personal contact details to bypass the Platform;
  • accepting payment or offering payment outside approved Platform workflows for Platform-originated work;
  • attempting to obtain work, drafts, samples, or deliverables without appropriate payment;
  • cancelling after receiving completed work in bad faith;
  • knowingly misrepresenting campaign terms, budgets, or deliverables.

7.3 CharitySocials may suspend, restrict, reverse, cancel, or terminate access where it reasonably believes a user has engaged in fraud, manipulation, abuse, or material breach of these Terms.

8. Multi-Influencer Collaborations

8.1 An advertiser may invite or negotiate with more than one influencer.

8.2 Unless the Platform expressly supports a different workflow, each accepted influencer engagement is treated as a separate collaboration for operational purposes, including deliverables, approvals, disputes, and escrow treatment.

8.3 The Platform may support multiple invited influencers but only one final assignee for a specific collaboration workflow unless otherwise stated.

9. Cancellations & Refunds

9.1 If a collaboration is cancelled before chargeable work begins, escrow may be refunded in full to the advertiser, subject to any non-refundable payment processing or Platform fees clearly disclosed in advance.

9.2 If work has already begun, the Platform may determine that a partial payout or proportional refund is appropriate based on the work completed and evidence available.

9.3 If an influencer cancels before work starts, funds may be returned to the advertiser.

9.4 Repeated cancellations, bad-faith cancellations, or pattern abuse may lead to account action.

10. Communication & Proof of Work

10.1 Users should keep collaboration communications, deliverables, and approvals on-platform wherever possible.

10.2 The Platform may give greater evidential weight to in-platform communications and records than to off-platform statements, because off-platform content is harder to verify reliably.

10.3 Influencers must provide reasonable proof of delivery where required by the brief or the Platform workflow.

11. PPC Overview

11.1 These PPC terms apply to all pay-per-click, referral, affiliate, or performance-based campaigns run through CharitySocials.

11.2 By sharing a campaign, link, banner, code, or promotional asset provided through the Platform, the influencer agrees to the PPC terms below.

12. PPC Budget & Billable Clicks

12.1 Each PPC campaign is assigned a fixed advertiser budget.

12.2 Billable paid clicks are strictly limited to the budget allocated to that campaign.

12.3 Only verified, valid, billable clicks recorded while the campaign is active and funded will generate earnings.

12.4 The Platform may use automated filters, fraud controls, and technical rules to determine whether traffic is payable.

13. Campaign Exhaustion

13.1 When a campaign’s paid budget is fully used, the campaign is treated as exhausted.

13.2 After exhaustion:

  • no further paid clicks or PPC commissions will be awarded;
  • incoming traffic may still be counted for analytics as raw or non-billable traffic only;
  • the Platform may disable share icons, paid click processing, or other campaign actions; and
  • the campaign cannot exceed its funded budget unless reactivated by additional funding.

13.3 The budget cap is system-enforced and may not be overridden for manual payment claims unless expressly approved by the Platform.

14. Influencer Duties After Exhaustion

14.1 Once an influencer knows or reasonably should know that a campaign is exhausted, paused, expired, ended, or otherwise non-billable, the influencer should promptly stop active promotion and remove or stop using the affected campaign materials where practicable.

14.2 CharitySocials is not responsible for an influencer’s expected earnings loss where the influencer continues promoting a campaign after the budget has been exhausted or the campaign is otherwise inactive.

15. Raw Clicks & Non-Billable Traffic

15.1 A raw or non-billable click includes any click that occurs when:

  • the campaign is exhausted;
  • the campaign is paused, expired, or ended;
  • the campaign lacks sufficient funded budget;
  • the traffic is deemed invalid, suspicious, duplicated, automated, or otherwise non-payable under Platform rules.

15.2 Raw clicks do not generate earnings or commissions.

15.3 The Platform’s billing records determine payable traffic for Platform settlement purposes.

16. Fraud, Invalid Traffic & Reversals

16.1 CharitySocials may monitor traffic quality and may reject, withhold, adjust, or reverse earnings where it reasonably believes traffic is invalid, automated, incentivised improperly, duplicated, abusive, fraudulent, or inconsistent with normal user behaviour.

16.2 Users must not generate or procure fake engagement, bot traffic, scripted clicks, or any artificial activity designed to inflate metrics or earnings.

16.3 Fraud prevention measures may include account review, payout holds, traffic filtering, campaign suspension, and account termination.

17. IP Logging, Security & Compliance

17.1 For platform security, fraud prevention, account integrity, duplicate activity detection, campaign validation, and compliance purposes, CharitySocials may collect and process IP addresses and other technical identifiers in accordance with its Privacy Policy.

17.2 Such information may be used internally to validate campaign traffic, detect abuse, investigate disputes, and protect users and advertisers.

17.3 CharitySocials does not sell IP address data and will only share personal data where permitted by law, necessary for service delivery, fraud prevention, legal compliance, or as described in the Privacy Policy.

18. Fees, Payouts & Taxes

18.1 The Platform may charge service fees, processing fees, payout fees, or other disclosed charges.

18.2 Users are responsible for checking any fees displayed on-screen before confirming a transaction.

18.3 Influencers and advertisers are responsible for their own taxes, reporting obligations, and legal compliance unless the Platform expressly states otherwise.

18.4 Payouts may be subject to verification, reserve periods, anti-fraud review, minimum withdrawal thresholds, and payment provider requirements.

19. Liability & Platform Role

19.1 CharitySocials provides a platform to facilitate collaborations, PPC campaigns, tracking, and related services. Unless expressly stated otherwise, CharitySocials is not itself the creator of user-submitted content, campaign promises, or third-party conduct.

19.2 The Platform does not guarantee campaign results, influencer performance, conversion rates, engagement volume, or business outcomes.

19.3 To the extent permitted by law, CharitySocials is not liable for indirect or consequential loss, lost profits, expected earnings, or losses caused by off-platform conduct, third-party outages, delays, reposts, or user failure to follow Platform rules.

19.4 Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited.

20. Suspension & Termination

20.1 CharitySocials may suspend, restrict, or terminate access where it reasonably believes a user has breached these Terms, engaged in fraud, caused security risk, or abused the Platform.

20.2 The Platform may place holds on payouts, reverse non-final earnings, freeze collaborations, or restrict campaign access while investigating serious issues.

20.3 Termination does not necessarily remove accrued legal obligations, dispute rights, fee obligations, or rights arising before termination.

21. Advertiser Responsibilities

21.1 Advertisers must provide clear, accurate, and complete campaign briefs, including deliverables, timelines, content expectations, and any specific approval requirements.

21.2 Advertisers must ensure that sufficient budget, escrow funds, or campaign funding is in place before expecting deliverables, paid traffic, or promotional activity.

21.3 Advertisers must not:

  • request unpaid work, samples, drafts, or deliverables outside the agreed terms;
  • cancel after receiving completed or substantially completed work in bad faith;
  • misrepresent campaign scope, pricing, timelines, or approval conditions;
  • attempt to move negotiations, payments, or fulfilment off-platform to avoid fees, tracking, or escrow requirements.

21.4 Advertisers are responsible for reviewing submitted work within the relevant timeframe and for giving clear approval, revision notes, or dispute reasons where required.

21.5 Where the Platform provides timed approval or release workflows, advertisers acknowledge that failure to act within the displayed timeframe may result in automatic release or closure of the relevant request.

22. Influencer Responsibilities

22.1 Influencers must deliver work in accordance with the collaboration brief, campaign terms, and any agreed in-platform amendments.

22.2 Influencers must ensure that all traffic, engagement, and activity submitted through the Platform is genuine, organic where required, and compliant with Platform rules.

22.3 Influencers must not:

  • use bots, fake clicks, artificial engagement, or fraudulent traffic;
  • misrepresent audience size, performance, or campaign results;
  • continue knowingly promoting exhausted, paused, expired, or non-billable PPC campaigns as if they remain payable;
  • attempt to bypass Platform systems, payment flows, escrow requirements, or applicable fees.

22.4 Influencers must provide reasonable proof of work, completion evidence, or supporting analytics where required by the collaboration brief, PPC workflow, or dispute process.

22.5 Influencers acknowledge that PPC earnings are strictly limited to valid, verified, and billable clicks or actions recorded within the campaign’s active funded budget and under the Platform’s rules.

23. Platform Fees & Earnings

23.1 CharitySocials operates a service fee model across all earnings generated through the Platform, including but not limited to PPC campaigns, collaborations, referrals, and any other monetisation features made available.

23.2 A platform service fee of up to 30% may be applied to total gross earnings generated by a user through the Platform.

23.3 When a user requests withdrawal, the payable amount will be calculated after deduction of applicable platform fees, and the user will receive the net amount (i.e., total earnings minus applicable fees).

23.4 By using the Platform and generating earnings, users acknowledge and agree to the applicable fee structure as displayed or described within the Platform at the time of earning or withdrawal.

23.5 PPC campaigns operate under a separate pricing model. For example, the Platform may charge advertisers approximately £0.10 per click and allocate approximately £0.07 per valid click to influencers, subject to campaign settings, validation rules, and system controls.

23.6 CharitySocials aims to maintain competitive and efficient pricing; however, all rates, allocations, and fee structures may be updated, adjusted, or optimised at any time to reflect platform costs, performance, and sustainability.

24. Mutual Standards of Conduct

24.1 All users must act honestly, fairly, and professionally when using the Platform.

24.2 Both advertisers and influencers must communicate respectfully and must not engage in harassment, abusive conduct, deception, coercion, or behaviour likely to damage the integrity of the Platform.

24.3 Both parties agree to cooperate reasonably with verification checks, dispute reviews, compliance requests, and fraud prevention measures where relevant.

24.4 Repeated misuse, manipulation, or bad-faith conduct may result in warnings, payment holds, suspension, or permanent removal from the Platform.

25. Governing Law & Contact

25.1 These Terms are governed by the laws of England and Wales, unless mandatory local law requires otherwise.
